1. Services Offered

We provide professional web development services including, but not limited to:

• Shopify Theme Design & Development
• Custom Shopify App Development
• Shopify Store Setup & Optimization
• API Integrations
• Performance Tuning & Maintenance
• Consultation and Support Services

All services are performed according to the scope defined in our written proposals or contracts.

2. Project Engagement

Clients must agree to the project scope, timeline, and pricing outlined in our proposal before development begins. Any changes to the agreed scope may result in additional charges and timeline adjustments.

3. Payments & Billing

• All invoices are payable in full within 15 days unless otherwise agreed.
• Projects may require a 50% upfront payment before commencement.
• Late payments may result in delays or suspension of work.

CodeFidea reserves the right to charge interest on overdue invoices and recover any costs incurred for debt collection.

4. Client Responsibilities

Clients are responsible for providing all necessary access (e.g., Shopify admin access, app permissions, credentials) and assets (e.g., images, text content, branding) in a timely manner.

Delays in providing required materials may affect project timelines and delivery.

5. Intellectual Property

• All custom code, themes, and applications developed by CodeFidea are the intellectual property of CodeFidea until full payment is received.
• Upon full payment, ownership of deliverables (excluding third-party libraries or software) will be transferred to the client.
• We reserve the right to showcase work in our portfolio.

6. Third-Party Services

We may integrate third-party tools or services as part of the project (e.g., Shopify apps, APIs). CodeFidea is not responsible for any downtime, limitation, or changes in terms made by these third-party providers.

7. Revisions & Maintenance

• Each project includes a defined number of revision rounds. Additional revisions may incur extra fees.
• Ongoing support or maintenance must be outlined in a separate agreement or plan.

8. Confidentiality

We respect client confidentiality and will not disclose any sensitive information or proprietary data unless required by law or authorized in writing by the client.

9. Limitation of Liability

CodeFidea shall not be held liable for any indirect, incidental, or consequential damages resulting from the use or inability to use our services or software. Our liability is limited to the total amount paid for the service in question.

10. Termination

Either party may terminate the agreement with written notice. In the event of termination, the client is responsible for payment of all completed work and any committed resources up to the termination date.

11. Governing Law

These terms shall be governed by and interpreted in accordance with the laws of [Your Country/State].

12. Updates to Terms
